From F-1 Student to E-2 Treaty Investor: Change of Status Approved for an Entrepreneur and His Family
By Clarvo Legal · October 28, 2026
A science teacher who came to the United States as an F-1 graduate student, and built his own custom printing and apparel business on the side, is now an E-2 treaty investor. On March 18, 2026, USCIS approved his change of status from F-1 to E-2, along with E-2 dependent status for his wife and child, just 16 days after filing with premium processing. His $114,043 investment, a fully documented source of funds and a business that was already operating made the case. Here is how we built it, where the investment went, and the full timeline.

From the lab to the classroom to his own business
He came to the United States in 2021 as an F-1 graduate student, teaching university laboratory courses while earning a master’s degree in chemistry. After graduating, he taught chemistry and physics at Texas public schools.
Alongside teaching, he was building something of his own. He started selling online, created a product line under his own registered trademark, and reinvested the profits. By early 2025 he had opened a custom printing and apparel wholesale business, with its own 2,500 sq ft space, direct-to-film and direct-to-garment printers, embroidery machines and two employees.
Student status, though, could not carry him or his business forward. He needed a status that let him stay and run the company he had built, and keep his family with him.
Why E-2
The E-2 treaty investor classification is for nationals of countries with a qualifying treaty with the United States who invest a substantial amount in a real U.S. business and come to develop and direct it. It does not require an employer sponsor, a lottery or a labor certification, and it can be renewed for as long as the business keeps operating.
Change of status inside the U.S. Because he was already here in valid F-1 status, he could request the change from USCIS without leaving the country.
Family included. His wife and child could change to E-2 dependent status on the same timeline, with the spouse eligible to work.
Speed. Premium processing meant a decision within weeks, not months.
Building the E-2 case
An E-2 petition rises or falls on evidence. We filed the petition with 97 exhibits, organized around each requirement.
1Treaty nationality and ownershipHe is a national of an E-2 treaty country and owns 100% of the company, shown through its formation filing, operating agreement and membership certificate.
2A real, operating enterpriseA 36-month commercial lease for a 2,500 sq ft production and retail space, a state sales tax permit, months of utility bills, supplier invoices, customer orders and business bank statements showing steady revenue.
3A substantial investment, at risk$114,043 committed to the business, with more than $80,000 already spent on the facility, printing and embroidery equipment, inventory and operations. The amount matched the full start-up cost in the business plan.
4Lawful source of fundsNearly two years of bank statements and W-2s tracing the money to his teaching salary, his e-commerce sales and his own trademarked product line, plus a personal statement explaining how he built it.
5Not marginalA five-year business plan projecting revenue growing from about $297,000 to about $1.1 million, and staff growing from two employees today to ten full-time equivalents.
6Develop and directAs sole owner and manager, he directs every part of the business, from production and suppliers to sales and hiring.

Showing the business is not marginal
An E-2 business has to do more than support the investor and his family; it needs the capacity to make a real economic contribution. The business plan showed exactly that.

May 1, 2026E-2 status beginsThe family’s E-2 status runs through April 30, 2028, and can be renewed as long as the business continues.
What made the difference
Proof of a business that already works. Rather than a plan on paper, the petition showed a real, operating company: a lease, utility bills, supplier invoices, customer orders and bank deposits month after month.
A clean source-of-funds trail. Every dollar was traced to lawful income through bank statements, W-2s and a clear personal explanation.
An investment that matched the business. The $114,043 covered the full projected start-up cost, which shows the investment is substantial for this type of business.
One coordinated family filing. The principal petition and both dependent applications went in together, under premium processing.
Is the E-2 right for you?
If you are a national of an E-2 treaty country, especially an F-1 student or graduate who has started or wants to start a business in the United States, the E-2 may let you run that business and keep your family here. The key is a real, well-documented investment and a clear source of funds.
Congratulations to this family on their new chapter.
